This position will be principally responsible for commercial legal support for Iron Mountain’s North American data center business, including managing, drafting and reviewing customer and vendor-related agreements, advising and supporting lawyers and other support functions on the Data Center team; and ensuring all contracts are completed efficiently and in compliance with corporate requirements. The individual must act as a solid business partner, delivering high quality and commercially-focused support, and collaborate with global legal team members, including reporting into the Manger, Senior Corporate Counsel, Data Center.
Key Accountabilities
Reviews and drafts customer contract requests, which are managed through Salesforce
Identifies current and potential contract issues, including type of agreement required and terms that must be included or avoided
Understands Company’s risk profile and contract guardrails and ensures any contractual terms align with Company requirements
Strong ability to review and interpret prior contract terms to determine key language requirements in amendments and respond to business queries regarding contract terms
Provides detailed contract interpretation to internal teams on various issues, including remedies for breach and contract requirements, and advises on path forward
Ensures all required contract details are properly placed in SalesForce, maintaining the integrity of the SalesForce record
Assists counsel with dropping in language during customer negotiations on more complex deals
Drafts correspondences and required notices in accordance with contract terms
Demonstrates working knowledge of corporate transactions
Manages contract forms; primary liaison for any form contract questions; coordination of any proposed updates or template issues
Manages legal records and files
Key Relationships
Main internal and external contacts will be:
Global legal team, with regular contacts being the data center legal team
Sales and procurement teams
Customers, contractors and suppliers
Professionals – external law firms, accountants/auditors, and other technical consultants
Knowledge/Skills/Experience
Education/Experience: Bachelor’s degree or paralegal certificate with a minimum of three (3) years of paralegal experience in a corporation or law firm.
Proficient computer skills including G-Suite and Microsoft Office applications
Ability to learn and use proprietary software and database applications
Excellent written communication skills, particularly with drafting and proofreading
Ability to plan, organize and prioritize a varied and heavy workload
Ability to compose complete and accurate documents with attention to detail
Ability to work effectively on a team with attorneys and other paralegals in handling responsibilities and fulfilling duties
Ability to communicate effectively and professionally both verbally and in writing
Ability to maintain confidentiality of customers, employees and proprietary information
Ability to work independently and carefully carry out instructions
Desire to work and collaborate in a team environment
Mobility: Travel not required.
